Terms and Conditions

Welcome to Rack, a product of Trail Alley Innovative Technology hereinafter referred to as (“Trail Alley”). These Terms and Conditions govern your use of Rack, including all features, content, and services offered on or through Rack.

By accessing or using Rack, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with all of these terms, then you are prohibited from using Rack.

User Eligibility

You must be at least 12 years old to use Rack. By using Rack, you represent and warrant that you are at least 12 years of age.

If you are using Rack on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and Conditions.

User Accounts

In order to access certain features of Rack, you may be required to create a user account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify Rack of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security.

User Content

Rack allows users to submit, upload, or otherwise make available content, including but not limited to text, images, videos, and other materials (“User Content”).

You retain ownership of your User Content. However, by submitting User Content to Rack, you grant Trail Alley a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform the User Content in connection with Rack operation and promotion.

You agree that your User Content will not violate any third party’s rights, including intellectual property rights and privacy rights. You are solely responsible for your User Content and the consequences of submitting it.

Prohibited Conduct

You agree not to use Rack for any unlawful purpose or in any way that violates these Terms and Conditions.

You agree not to upload, post, transmit, or otherwise make available any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, or otherwise objectionable.

You agree not to engage in any conduct that restricts or inhibits any other user from using Rack, or which may harm Rack or its users.

Intellectual Property

The content on Rack, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features, and the like (“Content”) and the trademarks, service marks, and logos contained therein (“Marks”), are owned by or licensed to Trail Alley, subject to copyright and other intellectual property rights under applicable laws and international conventions.

Content on Rack is provided to you “as is” for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners.

Termination

Trail Alley may terminate or suspend your access to Rack, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

Upon termination, your right to use Rack will immediately cease. All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Limitation of Liability

In no event shall Trail Alley, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • (i) your access to or use of or inability to access or use Rack;
  • (ii) any conduct or content of any third party on Rack;
  • (iii) any content obtained from Rack; and
  • (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Changes to Terms and Conditions

Trail Alley reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
